About this topic
A C corporation pays tax on its own profit, and its owners pay again when that profit reaches them. That double layer is subchapter C: the corporation is taxed once at the entity level, and again when earnings reach the shareholder.
Sec. 11(b) sets the entity-level rate at a flat 21 percent of taxable income. Every computation here runs through that number.
Key points
- A consolidated return combines the income, deductions, and credits of an affiliated group of corporations.
- Intercompany gains are deferred until the asset leaves the consolidated group.
- The corporate alternative minimum tax (CAMT) applies a 15% minimum tax on adjusted financial statement income for large corporations.
- The accumulated earnings tax and personal holding company tax penalize corporations that retain earnings beyond reasonable business needs.
